These Terms of Service (“Terms”) constitute a legally binding agreement, doing business as Coverage Voice AI (“Coverage Voice AI,” “we,” “us,” or “our”), and you (“Customer,” “you”). By accessing or using our voice AI platform, APIs, dashboards, or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Services
Coverage Voice AI provides AI-powered voice infrastructure designed for Medicare and ACA call center operations, including lead conversion, enrollment support, member care, retention workflows, compliance-aware call handling, and post-enrollment automation. The Services are accessed through application programming interfaces and a web-based dashboard.
We may modify, update, enhance, or discontinue features of the Services from time to time. Material or critical changes will be communicated through reasonable notice, including email notifications.
Account Eligibility and Security
You must be at least eighteen years old and legally capable of entering into binding contracts to use the Services. You are responsible for maintaining accurate and current account information and for safeguarding your login credentials. All activity that occurs under your account is your responsibility.
You agree to notify us immediately if you become aware of any unauthorized access to or use of your account. Coverage Voice AI is not responsible for losses resulting from unauthorized account access caused by your failure to protect credentials.
Acceptable Use and Regulatory Compliance
You agree to use the Services only for lawful purposes and in full compliance with all applicable federal, state, and industry regulations, including the Telephone Consumer Protection Act, Medicare and CMS marketing rules, and applicable healthcare privacy laws.
You may not use the Services to place calls without proper consent, bypass security controls, reverse engineer the platform, extract source code, resell the Services, upload malicious content, engage in fraudulent or harassing conduct, or misrepresent your identity or affiliations.
You are solely responsible for ensuring TCPA compliance, including obtaining prior express written consent, honoring opt-out requests, maintaining do-not-call lists, keeping consent records, and complying with permissible calling hours. If you handle Protected Health Information, you must execute a Business Associate Agreement with us and comply with all HIPAA obligations.
Coverage Voice AI reserves the right to suspend or terminate accounts that violate these Terms or applicable law.
Data and Privacy
You retain ownership of all customer data, call data, recordings, transcripts, and other content you provide or generate through the Services. You grant Coverage Voice AI a limited, non-exclusive license to process such data solely to provide, maintain, and improve the Services.
All data processing is governed by our Privacy Policy and applicable data protection laws. While we implement industry-standard security measures, you remain responsible for your use, handling, and downstream processing of data. Upon termination of the Services, you will have thirty days to export your data, after which we may delete it unless legally required to retain it.
Intellectual Property
Coverage Voice AI retains all right, title, and interest in and to the Services, platform, software, documentation, AI models, and underlying technology. These Terms grant you a limited right to use the Services during the term and do not transfer ownership or intellectual property rights.
You retain ownership of your data and content. If you provide feedback, suggestions, or recommendations, you grant us the right to use them without restriction or obligation.
Fees and Payment
Fees for the Services are defined in your applicable order form or subscription agreement and are generally usage-based. Payment terms are net thirty days unless otherwise specified. Late payments may accrue interest at one and one-half percent per month or the maximum rate allowed by law.
Fees do not include taxes, and you are responsible for all applicable taxes except those based on our net income. All fees are non-refundable except as required by law or expressly stated in your order form.
Term and Termination
These Terms remain in effect until terminated. You may terminate the Services by providing thirty days’ written notice, and you remain responsible for all fees incurred through the effective termination date.
Coverage Voice AI may terminate or suspend access immediately if you materially breach these Terms, fail to pay fees when due, use the Services unlawfully, or engage in conduct that harms our business, reputation, or legal standing.
Upon termination, access to the Services will cease immediately, all outstanding fees become due, and you will retain access to export your data for thirty days. Provisions relating to data, intellectual property, disclaimers, limitation of liability, indemnification, and general terms will survive termination.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Coverage Voice AI disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted, error-free, or secure operation of the Services. Your use of the Services is at your sole risk.
Limitation of Liability
To the maximum extent permitted by law, Coverage Voice AI will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, revenue, data, or business interruption.
Our total cumulative liability for all claims arising under these Terms will not exceed the greater of five hundred U.S. dollars or the total amounts paid by you to us in the twelve months preceding the claim. These limitations do not apply to indemnification obligations, payment obligations, gross negligence, willful misconduct, or infringement of your intellectual property rights by us.
Indemnification
You agree to defend, indemnify, and hold harmless Coverage Voice AI from any claims arising out of your use of the Services, your violation of these Terms, your violation of applicable laws including TCPA, HIPAA, or Medicare regulations, your data or content, or calls made using the Services.
Coverage Voice AI will indemnify you against third-party claims alleging that the Services infringe valid intellectual property rights, subject to prompt notice and reasonable cooperation.
General Provisions
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and disputes are subject to exclusive jurisdiction in San Francisco County, California. Before initiating litigation, both parties agree to attempt good-faith informal resolution for thirty days.
You may not assign these Terms without our prior written consent, while we may assign them to affiliates or in connection with a merger or acquisition. These Terms, together with your order form, constitute the entire agreement and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Neither party is liable for delays or failures caused by events beyond reasonable control.
